Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Kopra platform operated by Kopra Labs ("Kopra", "we", "us", or "our"). By creating an account or using any part of the service, you agree to these Terms. If you are using Kopra on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Service Description

Kopra is a custom field management platform that lets you define field groups, global fields, and tenant-specific fields for your applications. The platform includes a web application for managing your configuration, a REST API for programmatic access, a JavaScript SDK for client-side integration, an embeddable field editor for end-user data entry, and an MCP server for AI-assisted workflows. Together, these tools let you add custom fields to any application without building the infrastructure yourself.

Account Responsibilities

You are responsible for maintaining the security of your account credentials, API keys, and webhook secrets. You must:

  • Use a strong, unique password for your Kopra account.
  • Keep your API keys confidential. Do not expose them in client-side code, public repositories, or logs.
  • Notify us immediately if you suspect unauthorized access to your account.
  • Ensure that anyone who accesses Kopra through your account complies with these Terms.

You are responsible for all activity that occurs under your account, whether or not you authorized it.

Acceptable Use

You agree not to use Kopra to:

  • Store or transmit content that is illegal, harmful, threatening, abusive, or otherwise objectionable in field values or field configurations.
  • Abuse the API through excessive requests designed to degrade service for other customers, attempt to bypass rate limits, or exploit vulnerabilities.
  • Attempt to access data belonging to other customers or circumvent multi-tenant isolation.
  • Use the platform to build a competing service by systematically copying our API design, documentation, or functionality.
  • Resell access to the Kopra platform without a written reseller agreement.

We reserve the right to suspend or terminate accounts that violate these rules, with or without notice depending on the severity of the violation.

Service Availability

We strive to keep Kopra available at all times, but we do not guarantee uninterrupted service. The platform is provided on a best-effort basis. Planned maintenance windows will be announced in advance when possible. If you require a formal service level agreement (SLA) with uptime guarantees and priority support, please contact us about our Enterprise plan.

Payment Terms

  • Paid plans are billed monthly in advance. Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date.
  • You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that date.
  • We do not offer refunds for partial billing periods. If you cancel mid-cycle, you continue to have access for the remainder of that period.
  • We reserve the right to change pricing with 30 days notice. Price changes apply at the start of your next billing period after the notice period.
  • If a payment fails, we will attempt to charge your payment method again over the following days. If payment continues to fail, your account may be downgraded to the free plan.

Data Ownership

You own your data. All field group configurations, field definitions, and field values you create through Kopra belong to you and your organization. By using our service, you grant Kopra a limited license to store, process, transmit, and display your data solely for the purpose of providing the service to you. This license ends when you delete your data or close your account.

Intellectual Property

Kopra Labs owns all rights to the Kopra platform, including the web application, API, SDK, embeddable editor, MCP server, documentation, and brand assets. These Terms do not grant you any rights to our intellectual property beyond what is necessary to use the service. You may not copy, modify, distribute, or reverse-engineer any part of the Kopra platform.

Limitation of Liability

To the maximum extent permitted by applicable law, Kopra Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the service. This includes, but is not limited to, loss of profits, data, business opportunities, or goodwill.

Our total liability for any claim arising from these Terms or your use of the service is limited to the amount you paid to Kopra in the 12 months preceding the claim.

Warranty Disclaimer

The Kopra platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be error-free, secure, or available at any particular time.

Termination

Either party may terminate this agreement at any time. You can close your account from your account settings or by contacting us. We may terminate or suspend your account if you violate these Terms, fail to pay, or if we discontinue the service.

Upon termination, your access to the platform will end. Your data will remain available for export for 30 days after termination. After that period, all data associated with your account will be permanently deleted. If you need more time to export your data, contact us before your account is closed.

Changes to These Terms

We may update these Terms from time to time. When we make changes, we will notify you by email and update the date at the top of this page at least 30 days before the changes take effect. If you continue to use Kopra after the effective date, you accept the updated Terms. If you do not agree with the changes, you may close your account before the new terms take effect.

Governing Law

These Terms are governed by the laws of the jurisdiction where Kopra Labs operates. Any disputes arising from these Terms or your use of the service will be resolved in the courts of that jurisdiction. Both parties agree to submit to the personal jurisdiction of those courts.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court, the remaining provisions will continue to apply in full.
